External Packages Certification Process

Submit your external package to be published by Fielo

BY SUBMITTING YOUR EXTERNAL EXTENSION PACKAGE TO FIELO'S R&D CERTIFICATION OF AN EXTERNAL EXTENSION PACKAGE, YOU'RE AGREEING TO ALL THE TERMS AND CONDITIONS SET HEREIN.

Any external package that a user develops to extend Fielo's capabilities must go through a certification process that will be performed by our team. The certification ensures that the package is well designed to run with Fielo and doesn't prevent Fielo’s default features to work as they are expected to.

The aim of this document is to define the process of how Fielo's R&D will conduct the certification of external packages. Once this process is complete, your package will be listed as a Partner’s External Package so that other users can install and use it in their Org.

Certification Objective

Fielo does the certification with the objective of ensuring that the external package can be installed in Fielo Platform and doesn’t materially decrease the overall functionality and security of the core product.

Fielo is not responsible for the following:

  • Ensure the external package works in Fielo or that it performs error-free or uninterrupted;
  • Performing scalability and performance testing; and
  • The external package is in compliance with the law.

Certification Submission

To submit your package to the certification process, you will need to fill out and send this form with the following information:

  • Disclaimer, liabilities, and warranties
  • Company's name
  • Contact information to the responsible developer
  • Documentation
    • File with the checkmark analysis results and false-positives
    • The package's datamodel
    • A brief description of the package contents and what it adds to Fielo
    • A description of the use cases that the package answers to
  • Online help
    • How to install
    • How to configure
    • How to use
    • Limitations (if any)
  • Package URL
  • Package version
  • Package's Terms and Conditions for use (it is not mandatory to send this to the certification process, but you must have it and make it available to the users).

Certification Process

Once you have gathered all the necessary information and sent it, Fielo's team will begin its analysis. The whole process, from when we receive the filled form to when we confirm that the package is accepted, can take up to 3 weeks.

The first step in the process will be the Business Analysis, where the team will review the documentation provided, install the package, and use it as described.

Next, the package will go through the Technical Analysis. In this stage, we will review the checkmark results, false-positive file, and the datamodel, as well as analyze the code. This last step will cover hack unit tests and architecture analysis (there must not be triggers in Fielo processing objects).

It is mandatory to submit unmanaged packages or provide access to a developer repository so that Fielo's team can perform the Technical Analysis.

Fielo will then perform a QA Analysis with the submitted package to ensure that it does not break any of the platform's default features.

Granted that the package passes through the previous steps without any issues, the last step will be to publish the package in Fielo's Documentation so that it will be available to other people to use.

What is published by Fielo?

The new external package, with Fielo's approval, will be published along with the following data. This will make sure that whoever installs the package will have all the information that they might need to work with the external package.

  • Fielo's Disclaimers
  • Fielo's Warranties, liabilities, and indemnification
  • Your Terms and Conditions
  • The package URL
  • Package Version (related to the URL above)
  • Fielo version with which the package was tested
  • Company
  • The documentation provided in the submission
    • Brief package description
    • Online help

Maintaining the Package's Certification

The external package's certification is linked to a specific FieloPLT version; the one in which it was initially tested. Therefore, whenever a new release is launched, Fielo will notify the responsible developer (contact information sent with the package submission) so that they can test the package with the new version.

If there is a new version of the external package, the provider must restart the certification by submitting the new version's data using the same form mentioned in Certification Submission.

Other than that, Fielo requires that your package complies with the law and the terms and conditions set herein. If there is any suspected non-compliance, claim, or lawsuit involving the Company, especially related to the intellectual property, Fielo can - at any time and its sole discretion - suspend or cancel the certification and, consequently, the availability of the extension at the platform.

Customer support

The Package Provider is responsible for customer support. If a customer opens a ticket in Fielo Customer Support, it will be redirected to the provider, at its sole responsibility.

The Package Provider shall have and comply with its standard Service-Level Agreement and offer good Customer Support.

Intellectual Property

The intellectual property remains with the Package Provider. Thus, the Package Provider shall have and will maintain any and all consents, approvals, licenses, or other authorizations necessary for the performance of its obligations concerning the external package. It is also important to note that the Package Provider shall not make any representations or warranties on Fielo's behalf without its prior written consent.

The Package Provider warrants and guarantees that it owns or lawfully possesses any Intellectual Property Rights, patents, trademark, brand, utility model, design, pattern, copyrights, licenses, franchises, and permits necessary to perform the External Package and all related obligations.

The Package Provider shall indemnify and hold Fielo harmless from any liability for infringement of patent, trademark, brand, utility model, design, pattern, copyrights related to the External Package and all related obligations, worldwide, and shall pay Fielo all damages and costs incurred as a result of any infringement or alleged infringement of any Intellectual Property rights related to the External Package and all related obligations.

Warranties, Liabilities, and Indemnification

Please note the following topics regarding the External Package's warranties, liabilities, and indemnification:

  • The Package Provider warrants that the External Package and any support services described will be performed in accordance with the applicable laws, including but not limited to data protection legislation and regulations and anti-corruption.
  • The Package Provider is solely and exclusively responsible for planning, manufacturing, workmanship, and performance of the External Package and related obligations.
  • The Package Provider shall be the sole responsible and liable for its acts or omissions, from those of its employees, contractors, and/or agents, regarding the External Package and all related obligations, and that may result in criminal, civil, tax, labor, social security or environmental claims. the Package Provider shall bear all loss and damage, costs, indemnities, and offsets arising from its liability.
  • In case of any claim and even during Support Service, the packager provider shall be solely liable and must assume full responsibility before customers and Government authorities and take all necessary measures to avoid and mitigate risks or damages and also to reduce its consequences and repercussions, to prevent Fielo from being held liable.

The Parties hereby expressly agree that in the event Fielo is assessed, notified, summoned, subpoenaed, or condemned for the failure by the Package Provider - or by any third parties acting on behalf of the Package Provider -, to comply in the right time with any obligation attributed to the Package Provider, its suppliers, and/or sub-suppliers, originating from this Certification/External Package.

Whether these obligations are a tax, labor, social security, or any other nature, the Package Provider shall be responsible for paying the relevant obligations within 30 (thirty) days from the date on which it is notified of any such proceeding. This must be done with the purpose to hold harmless and indemnify Fielo against any eventual assessment, notification, summons, subpoena, or condemnation, provided that Fielo immediately notifies the Package Provider of any such proceeding and keeps it fully informed.

Disclaimers

  • Liability

Fielo is expressly excluded from any liability, even subsidiary. Fielo is not jointly liable for any breach of law or any damage caused by the Package Provider to a third party or on behalf of any authorities.

  • Guarantees

Fielo does not provide any guarantee concerning or related to Package Provider and its product and related services.

For the avoidance of doubt, this Certification does not attest to the quality of the package, and IN NO EVENT WILL Fielo HAVE ANY LIABILITY concerning the External Package and Package Provider´s obligations.

  • Payment

The external package will be offered for free and no payment is or will be due by Fielo. In the future, Parties can negotiate to allow Package Provider to directly charge Fielo´s customers. In this case, in no way will Fielo pay or be a guarantor of any payment. the Package Provider will have an independent relation with Fielo´s customer without prejudice to the terms agreed herein.

General Provisions

Please take note of the following:

  • This term, together with any Certification Submission and/or Amendment attached hereto, constitutes the entire agreement between the Parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
  • Any dispute arising out of - or relating to - the subject matter of this Certification and External Package which cannot be amicably settled within sixty (60) days by the parties' senior management, shall be finally settled by arbitration following the Rules of Arbitration of the International Chamber of Commerce ("ICC Rules of Arbitration"). The arbitration shall take place in Delaware, in the English language, and shall be following the ICC Rules of Arbitration.
  • The Parties elect the courts of the city of Delaware, USA, to hold exclusive jurisdiction concerning any matter that is ancillary to the arbitration, including to any coercive and urgent measures or injunctive or urgent reliefs, as per the ICC Rules. Once the Arbitral Tribunal is seized of the dispute, the provisional measures or early reliefs will be sought exclusively before the Arbitral Tribunal, which can confirm, change or revoke any and all provisional measures or injunctions granted by the courts.
